EDMONTON, AB, Oct. 17, 2025 /CNW/ – Dr. Phone Fix Canada Corporation (“Dr. Phone Fix” or the “Company”) (TSXV: DPF) is pleased to announce that it has received approval from the TSX Venture Exchange (the “TSXV”) to extend the deadline for its previously announced non-brokered private placement (the “Private Placement”).
The Private Placement consists of up to 16,666,667 units of the Company (“Units”) at a price of $0.15 per Unit, for aggregate gross proceeds of up to $2,500,000 (refer to news releases dated September 8, 2025, and October 7, 2025). The deadline has been extended from October 23, 2025, to November 22, 2025.
The net proceeds from the Private Placement will be used to support Dr. Phone Fix’s M&A growth strategy and for general working capital purposes.
All securities issued under the Private Placement will be subject to a four-month-plus-one-day hold period, in accordance with applicable Canadian securities laws. The Private Placement will not result in the creation of a new control person of the Company.
The completion of the Private Placement remains subject to standard closing conditions, including, but not limited to, final acceptance by the TSXV.
The securities offered under the Private Placement have not been registered under the United States Securities Act of 1933, as amended (the “U.S. Securities Act”), or any state securities laws, and may not be offered or sold within the United States except pursuant to an applicable exemption from the registration requirements of the U.S. Securities Act and applicable state securities laws.
