EDMONTON, AB, February 13, 2026 – Dr. Phone Fix Canada Corporation (TSXV: DPF) (“Dr. Phone Fix” or the “Company”), one of Canada’s fastest-growing consumer electronics repair and resale platforms, announced that its Board of Directors has approved the issuance of stock options (“Options”) to directors in lieu of cash compensation under its Stock Option Plan (the “Plan”).
A total of 3,720,000 Options have been granted, providing the right to acquire an equivalent number of common shares (“Common Shares”) of the Company (the “Option Grant”).
The Options were granted effective February 12, 2026 (the “Grant Date”) and are exercisable for a term of 10 years at an exercise price of $0.19 per Common Share. Under the vesting schedule, 25% of the Options vested on the Grant Date, with the remaining 75% vesting in three equal 25% installments at the conclusion of each successive 90-day period following the Grant Date.
All Options, along with the Common Shares issuable upon exercise, are subject to a statutory hold period of four months and one day from the Grant Date.
Following this issuance, the Company has 8,992,125 Options outstanding. The Stock Option Plan provides that the total number of Common Shares reserved for issuance under outstanding Options may not exceed 10% of the Company’s issued and outstanding Common Shares at any given time. As of the date of this announcement, the aggregate number of Common Shares underlying outstanding Options represents approximately 5% of the Company’s issued and outstanding shares.
