EDMONTON, AB, June 24, 2026 – Dr. Phone Fix Canada Corporation ("Dr. Phone Fix" or the "Company") (TSXV: DPF) has successfully completed the first tranche of its previously announced non-brokered private placement financing, as outlined in its May 19, 2026 news release.
The Company issued 882 convertible debenture units at a price of $1,000 per unit, generating gross proceeds of $882,000. Each unit consists of:
- One $1,000 unsecured convertible debenture
- 3,125 common share purchase warrants

Finder's Fees
As part of the financing, Dr. Phone Fix paid eligible arm's-length finders:
- Cash fees totaling $59,990
- 374,937 Finder's Warrants
Each Finder's Warrant entitles the holder to purchase one common share of the Company at an exercise price of $0.22 per share for a period of 24 months from the issuance date.
Hold Period and Regulatory Approval
All securities issued under the private placement—including common shares that may be issued upon the conversion of the debentures or the exercise of the warrants—are subject to a four-month and one-day statutory hold period in accordance with applicable Canadian securities legislation and the policies of the TSX Venture Exchange (TSXV).
The financing remains subject to final approval by the TSX Venture Exchange.
